These Terms and Conditions (“Terms”) govern your use of VitalPro Docs’ website and services (“Services”) provided by VitalPro Docs, Inc. (“VitalPro Docs,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Services.

By creating an account, accessing our website, or using our Services, you agree to be legally bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Who We Are
VitalPro Docs, Inc. provides a secure online platform for credential storage, professional document management, expiration tracking, and document sharing for licensed professionals.
3. User Accounts
To access certain features, you must create an account by providing accurate and complete information.
You are responsible for maintaining the confidentiality of your login credentials and account information.
Accounts are intended for individual use only and may not be shared with others.
You agree to immediately notify us if you believe your account has been compromised.
VitalPro Docs is not responsible for losses resulting from unauthorized account access due to your failure to maintain security.
4. Services Description
All user data is stored securely using cloud infrastructure, including Amazon Web Services (AWS). We implement strong encryption measures, including TLS 1.3 for data in transit and AES-256 for data at rest. While we follow industry standards, no system is 100% secure, and you assume the risk associated with internet-based platforms.
VitalPro Docs offers a cloud-based platform for storing, organizing, and securely sharing vital professional documents.
While we take reasonable steps to secure your documents using encryption and SOC 2-compliant infrastructure, you acknowledge that no online platform can guarantee absolute security.
5. User Content and Responsibility
You retain ownership of the documents, materials, and information you upload (“Content”).
By uploading Content, you grant VitalPro Docs a limited, non-exclusive license to host, store, and display your Content solely to provide our Services. You represent that you have the necessary rights to upload and share such Content.
You are solely responsible for the legality, reliability, and appropriateness of any Content you upload.
VitalPro Docs is not responsible for verifying the accuracy or legality of your uploaded materials.
6. Payments
Access to certain features requires a paid subscription.
All payments are securely processed through Stripe. We do not store your payment card details.
Subscription fees are billed on a recurring basis unless canceled.
You agree to keep your billing information current.
Refunds, if any, are issued at VitalPro Docs’ sole discretion and subject to our refund policy.
We may modify subscription pricing with advance notice. Your continued use of the Services after changes take effect constitutes your agreement to the new fees.
7. Prohibited Activities
You agree not to:
• Violate any law, regulation, or third-party right
• Upload malicious software, spyware, viruses, or any harmful code
• Use automated bots, spiders, scrapers, or unauthorized scripts
• Share your account credentials with others
• Interfere with, disrupt, or harm the Services or other users’ access
• Post, upload, or transmit material that is defamatory, obscene, fraudulent, abusive, or otherwise objectionable
• Attempt unauthorized access to our systems or data
• Copy, duplicate, or reverse engineer any part of the Services without permission
• Circumvent any security features of the platform
We reserve the right to suspend or terminate accounts engaging in prohibited activities.
8. Intellectual Property
All trademarks, logos, service marks, text, images, software, and other content associated with VitalPro Docs are the property of VitalPro Docs, Inc. or its licensors.
You may not reproduce, distribute, modify, or create derivative works based on our intellectual property without prior written permission.
9. Termination
We may suspend or terminate your access to the Services at any time, without notice, for any violation of these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the Services will immediately cease.
You may also terminate your account at any time by contacting us.
10. Electronic Communications and Signatures
By creating an account, submitting information, or communicating with us electronically, you consent to receive communications from us electronically.
You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
You also consent to the use of electronic signatures.
11. Disclaimers
System Reliance & Limitation Disclaimer
VitalPro Docs is a supplemental tool designed to assist you in managing professional documents. While we strive to ensure continuous service and accurate functionality, you acknowledge that system errors, bugs, or outages may occur.
You agree that you remain solely responsible for managing your own credentialing deadlines, documents, and personal information. You must not rely solely on our platform for critical compliance, licensing, or employment requirements.
VitalPro Docs is not liable for any damages, losses, or missed deadlines resulting from reliance on the Services, including but not limited to errors in expiration tracking, document storage, access interruptions, or communication failures.
VitalPro Docs provides the Services “as is” and “as available” without warranties of any kind, either express or implied.
We do not guarantee that the Services will be error-free, uninterrupted, or completely secure.
To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Professional Advice Disclaimer:
VitalPro Docs provides document management services only. We do not offer legal, medical, financial, credentialing, or other professional advice.
You are solely responsible for verifying the accuracy, compliance, and adequacy of your professional documents with applicable licensing, credentialing, and employment requirements.
You should consult qualified professionals as needed.
Delivery Disclaimer:
VitalPro Docs provides tools to allow users to store and share documents with third parties, including employers, hospitals, agencies, and credentialing entities.
However, we are not responsible for, and do not guarantee, the successful delivery, access, or viewing of shared documents by third-party recipients.
Factors outside of our control — including hospital network restrictions, firewalls, security filters, email blocking, or incompatible IT systems — may prevent recipients from accessing shared documents or links.
You acknowledge that it is your responsibility to confirm receipt and accessibility of any shared documents, and VitalPro Docs is not liable for any losses, delays, or damages resulting from a recipient’s inability to access or use our Services.
Expiration Tracking Disclaimer
VitalPro Docs offers expiration tracking and reminder tools to assist users in monitoring the validity of their credentials, licenses, certifications, immunizations, and other professional documents. These tools are intended to support—not replace—your personal responsibility to track and maintain your required documents.
While we make reasonable efforts to provide timely alerts and reminders based on the information you input, we do not guarantee delivery, accuracy, or timeliness of any alerts. You remain solely responsible for monitoring your own credentialing deadlines and ensuring compliance with any employment, licensing, or legal requirements.
VitalPro Docs, Inc. is not liable for any missed deadlines, lapsed credentials, or resulting damages—including loss of employment, income, or licensing—due to reliance on our tracking or reminder features.
12. Limitation of Liability
To the fullest extent permitted by law, VitalPro Docs, Inc., its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or revenue, arising out of your use of or inability to use the Services.
Our total liability shall not exceed the amount you paid for the Services during the twelve (12) months prior to the event giving rise to the claim.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to conflict of law principles.
You agree that any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Nevada.
14. Modifications to the Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability or notice.
We may also update these Terms from time to time.
We will notify you of material changes through your account email or by posting an updated version on our website.
Your continued use of the Services after changes are effective constitutes your acceptance of the revised Terms.
15. Email & SMS Communications
By creating an account with VitalPro Docs, you explicitly consent to receive transactional and promotional communications via email and SMS. This includes reminders, account updates, feature announcements, and marketing messages related to your subscription and account activity.
You acknowledge and agree tha
• Providing your contact information constitutes your consent to receive communications without requiring separate confirmation (single opt-in).
• You can opt out of marketing communications at any time by clicking the unsubscribe link in any email or replying STOP to any SMS message.
• Even if you opt out of marketing emails or texts, you will still receive essential account-related communications (e.g., billing notices, expiration alerts, password resets).
16. Acknowledgment
By using VitalPro Docs, you acknowledge that you have read these Terms and Conditions and agree to be bound by them.
